1. Introduction

We, Ceres Foods Private Limited, a company incorporated under the laws of India and the brand owner of “MOI SOI”, operate the website www.moisoi.in (“Platform”).

These Terms of Service (“Terms”) constitute a legally binding agreement between You (“User”, “You”, “Your”) and Us (“Ceres Foods”, “MOI SOI”, “We”, “Us”, “Our”).

By accessing, browsing, or using the Platform or placing an order, You:

  • Acknowledge that You have read, understood, and agreed to these Terms

  • Agree to our Privacy Policy and applicable laws (“Applicable Laws”)

If You do not agree, You must discontinue use of the Platform immediately.

We may update these Terms from time to time. Continued use after updates constitutes acceptance.

2. Acceptance & Eligibility

  • You must be at least 18 years old and legally competent under the Indian Contract Act, 1872.

  • Use by minors is strictly prohibited.

  • We reserve the right to refuse access, suspend or terminate accounts, or cancel orders for violations, fraud suspicion, legal requirements, or operational needs.

3. Service Description

The Platform enables product browsing, online ordering, secure payments (via third-party gateways), order tracking, delivery coordination, and user reviews.

  • Services are provided on an “as is” and “as available” basis without express or implied warranties.

  • Product availability, pricing, and delivery areas may change without prior notice.

  • Delivery timelines are estimates only.

  • Product images are illustrative and actual products may vary slightly.

4. Intermediary Disclaimer

Ceres Foods operates the Platform and sells products directly. However, we do not guarantee uninterrupted availability of third-party payment gateways, logistics partners, or network infrastructure services.

5. User Account & Security

  • You must provide accurate, current, and complete information during registration.

  • Consent Requirement: Creating an account requires checking the mandatory box agreeing to these Terms.

  • You are responsible for maintaining the confidentiality of login credentials and for all activities under your account.

We are not liable for losses due to compromised credentials. Accounts may be suspended or terminated for violations.

6. Orders, Payments & Pricing

  • Orders constitute an offer to purchase; acceptance occurs upon order confirmation.

  • We reserve the right to cancel orders due to stock unavailability, pricing errors, or payment processing failures.

  • Payments are processed via secure third-party gateways. Cash on Delivery may be offered subject to availability.

  • We do not store card or banking credentials. Prices displayed include applicable taxes at checkout.

7. Cancellation, Returns & Refunds

  • Orders can be cancelled prior to dispatch.

  • Post-dispatch cancellations are allowed only if the product is damaged, defective, expired, or incorrect upon delivery.

  • Refunds are processed within 7–14 business days to the original payment method. No cash refunds are provided.

8. Delivery & Inspection

  • Delivery timelines are estimates only and not guaranteed.

  • You must inspect products upon delivery and report issues within 24 hours with valid proof (e.g., photos).

  • Failure to report within 24 hours constitutes deemed acceptance.

  • Incorrect address, refusal, or unavailability upon delivery will be treated as a successful delivery without eligibility for a refund.

9. Food Safety & Consumption Disclaimer

  • Users must review ingredients, allergens, and product details before purchase.

  • We are not liable for allergic reactions or misuse/overconsumption.

  • Information on the Platform is for informational purposes only and does not constitute medical advice.

10. User Conduct & Compliance

You agree NOT to:

  • Use the Platform for illegal activities or in violation of Applicable Laws.

  • Post harmful, defamatory, offensive, or infringing content.

  • Attempt hacking, malware transmission, or system interference.

  • Impersonate others or misrepresent data.

  • Misuse Platform content or breach privacy obligations set forth in our Privacy Policy.

User Content License

By submitting reviews or feedback, You grant us a perpetual, royalty-free, irrevocable license to use, reproduce, and display content across our platforms. We reserve the right to remove content violating these Terms.

11. Intellectual Property

All content (text, graphics, images, logos, software) is owned or licensed by MOI SOI / Ceres Foods. You may not copy, distribute, reverse engineer, or commercially exploit any content without explicit written permission.

12. Privacy

Use of the Platform and handling of your data is governed by our Privacy Policy. By using the Platform, You consent to data collection and processing under applicable laws, including the Digital Personal Data Protection (DPDP) Act, 2023.

13. Representations & Warranties

You confirm that:

  • Information provided is accurate and truthful.

  • You have legal authority to enter into these Terms and execute transactions.

  • Products purchased will be used strictly as intended for personal consumption.

14. Indemnity

You agree to indemnify and hold harmless Ceres Foods, its directors, officers, employees, and affiliates against any claims, losses, damages, or legal fees arising from your breach of these Terms, misuse of the Platform, or violation of third-party rights.

15. Limitation of Liability

To the maximum extent permitted by law:

  • Total liability is limited strictly to the amount paid for the specific order in question.

  • Ceres Foods is not liable for indirect, incidental, punitive, or consequential damages, or loss of profits or data.

16. Termination

  • We reserve the right to suspend or terminate access immediately for violations, fraud, or operational reasons.

  • You may terminate your agreement by closing your account and discontinuing Platform use.

  • Obligations surviving termination include intellectual property rights, indemnity, limitation of liability, and dispute resolution.

17. Governing Law, Pre-Arbitration Negotiation & Jurisdiction

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

17.2 Mandatory Informal Negotiation / Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt in good faith to resolve the dispute through informal negotiations within thirty (30) days from the date written notice of the dispute is provided by either party.

17.3 Arbitration

If the dispute is not resolved through informal negotiations within the 30-day period, it shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended):

  • Arbitrator: The tribunal shall consist of a sole arbitrator mutually appointed by both parties.

  • Seat & Venue: The Seat and Venue of arbitration shall exclusively be Mumbai, Maharashtra, India.

  • Language: The proceedings shall be conducted in English.

17.4 Exclusive Jurisdiction

Subject to the arbitration clause above, the Courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction to adjudicate any legal proceedings or court applications arising under or in connection with these Terms.

18. Force Majeure

We are not liable for performance failures or delays due to acts of God, natural disasters, pandemics, government actions, supply chain disruptions, or cyberattacks. Obligations remain suspended for the duration of the event.

19. Waiver & Severability

  • Any failure to enforce a right does not constitute a waiver. Waivers must be in writing.

  • If any provision is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.

20. Survival

Provisions covering Intellectual Property, Indemnity, Limitation of Liability, Dispute Resolution, and Payment Obligations shall survive termination.

21. Amendments

We reserve the right to modify these Terms at any time. Updated Terms become effective immediately upon posting on the Platform.
