1. Introduction

We, Ceres Foods Private Limited, a company incorporated under the laws of India and the brand owner of “MOI SOI”, operate the website www.moisoi.in (“Platform”).

These Terms of Service (“Terms”) constitute a legally binding agreement between You (“User”, “You”, “Your”) and Us (“Ceres Foods”, “MOI SOI”, “We”, “Us”, “Our”).

5. User Account & Security

  • You must provide accurate and complete information

  • You are responsible for:

    • Maintaining login credentials

    • All activity under your account

6. Orders, Payments & Pricing

Payments:

  • Cash on Delivery (if applicable)

  • We do not store card details

Prices are displayed with applicable taxes at checkout.

7. Cancellation, Returns & Refunds

  • Orders can be cancelled before dispatch

  • Post-dispatch cancellations allowed only if:

Refunds:

Failure to report = deemed acceptance.

Incorrect address / refusal / unavailability = treated as successful delivery (no refund).

Against claims arising from:

  • We are NOT liable for:

    • Indirect or consequential damages

    • Loss of profits or data

16. Termination

We may suspend or terminate access for:

  • Fraud

  • Legal requirements

You may terminate by closing your account.

Certain obligations (payment, indemnity, disputes) will survive termination.

17. Governing Law & Dispute Resolution

  • Governed by laws of India

  • Disputes to be resolved amicably within 30 days

If unresolved:

  • Arbitration under the Arbitration and Conciliation Act, 1996

  • Sole arbitrator (mutually appointed)

  • Seat: Mumbai

  • Language: English

Courts in Mumbai shall have exclusive jurisdiction.

18. Force Majeure

We are not liable for delays or failure due to:

  • Natural disasters

  • Pandemics

  • Government actions

  • Supply chain disruptions

  • Cyberattacks or outages

Obligations remain suspended during such events.

19. Waiver

  • Waivers must be in writing

  • Failure to enforce rights does not waive them

  • Invalid provisions will not affect remaining Terms

20. Survival

The following survive termination:

  • Intellectual Property

  • Indemnity

  • Dispute Resolution

  • Payment obligations

21. Amendments
